Version 2.3

Confidentiality and non-circumvention apply to every introduction on this lane.
1. Confidential information. "Confidential Information" means all information disclosed through txmaritime about a vessel, its owner, seller or broker, including identity, IMO number, specifications, class records, photographs, pricing and the fact that a vessel may be for sale, whether disclosed before or after the date of this agreement.
2. Use and disclosure. You will use Confidential Information solely to evaluate a possible purchase of the vessel and will not disclose it to any person other than your directors, employees, financiers and advisers who need to know it and are bound by confidentiality.
3. Non-circumvention. For 24 months after an introduction you will not knowingly deal with that owner, seller or broker about that vessel except through tx*, even if the mandate has expired.
4. Fee. If you buy a vessel introduced through a mandate, the success fee shown on the lane is due on closing. The mandate deposit is credited against that fee. The deposit is refundable if no qualifying match is presented in the term, if compliance does not approve the mandate, or if you withdraw before the first match is shared. It is not refundable if a deal is circumvented.
5. No agency. tx* introduces parties. It is not a party to the sale, not the owner, and not your broker of record unless a separate writing says so.
6. Screening. tx* may decline or pause a mandate or an introduction where sanctions, KYC or ownership is unclear. A cleared status in this product is a staff decision, not a warranty.
7. Version. The version stamped on the acceptance record is the text that was hashed.
